Terms of Service

1. Scope and Acceptance

These Terms apply to purchases made directly from IRONBAY™, whether in person at our Calgary location, through our online store, or through another purchasing method expressly accepted by IRONBAY™.

If you purchase on behalf of a corporation, organization, or other entity, you represent that you have authority to make the purchase on behalf of that entity.

You must have the legal capacity or authorization required by applicable law to enter into a transaction with IRONBAY™.

2. Product Information

IRONBAY™ makes reasonable efforts to ensure that product descriptions, specifications, dimensions, weights, images, pricing, and availability are accurate and current.

Reasonable manufacturing tolerances may apply to dimensions, weights, finishes, and other characteristics. Product colours and appearance may also vary slightly from photographs because of manufacturing variation, lighting, photography, or display settings.

Cosmetic conditions and acceptable manufacturing variation may be further addressed in IRONBAY™’s published product standards where applicable.

Errors or omissions may occasionally occur. Where a material product information error is identified before fulfilment, IRONBAY™ will contact the customer where necessary and will not materially substitute or modify a purchased product without the customer’s agreement.

Product-specific information disclosed at the time of purchase forms part of the terms applicable to that purchase, subject to applicable law.

3. Pricing, Taxes and Payment

Unless otherwise stated, prices displayed by IRONBAY™ are in Canadian dollars.

IRONBAY™ generally maintains the same regular product pricing online and at our Calgary location. Temporary differences may occur because of a clearly identified promotion, timing of a price update, or a technical or listing error.

Applicable taxes, shipping charges, delivery charges, and other applicable charges will be disclosed as part of the transaction.

Shipping and freight charges are governed by our Shipping Policy. Local delivery and assembly charges are governed by our Delivery & Assembly Policy.

If an obvious or material pricing or calculation error affects an order, IRONBAY™ may contact the customer before fulfilment to explain the error. The customer will not be required to accept a materially increased price without agreement.

If IRONBAY™ cancels a paid order because of such an error, all amounts paid for the cancelled product or portion of the order will be refunded.

4. Orders and Product Availability

Inventory displayed on the IRONBAY™ website is based on our current inventory records and is intended to reflect actual available stock.

In rare cases, availability may change before an order is fulfilled because of simultaneous transactions, inventory adjustments, damage discovered during order preparation, or another exceptional inventory event.

Where permitted by applicable law, IRONBAY™ may refuse or cancel an order before fulfilment for legitimate reasons including:

• Unexpected product unavailability;
• An obvious or material pricing or listing error;
• Inability to verify or authorize payment;
• Suspected fraud or unauthorized activity;
• Materially inaccurate customer information;
• Shipping or freight being unavailable or not reasonably feasible;
• Legal or regulatory restrictions; or
• Other circumstances that reasonably prevent fulfilment as agreed.

If IRONBAY™ cancels all or part of a paid order, all amounts paid for the cancelled portion will be refunded.

IRONBAY™ will not materially modify an accepted customer order without the customer’s agreement. If a purchased product becomes unavailable, an alternative may be offered, but the customer is not required to accept a substitute.

5. Online and Distance Purchases

Online and other distance purchases may be subject to additional disclosure, delivery, cancellation, refund, contract-copy, or other requirements under applicable Canadian law.

Nothing in these Terms or another IRONBAY™ policy limits a statutory cancellation, refund, or other right that cannot legally be excluded or restricted.

Customers are responsible for reviewing order information before submitting an online purchase and for providing accurate billing, shipping, and contact information.

6. Product Use and Safety

Customers are responsible for using products safely and for their intended purpose.

Applicable assembly instructions, warnings, weight capacities, maintenance requirements, and safe-use instructions should be followed.

Use should be discontinued where damage, instability, unusual operation, or another potentially unsafe condition becomes apparent until the condition has been assessed.

Customers are responsible for ensuring that the intended location is reasonably suitable for the product, including adequate space, clearance, floor support, and other applicable requirements.

Nothing in this section excludes responsibility for a product defect, incorrect service, assembly performed by IRONBAY™, or another matter for which IRONBAY™ is legally responsible.

7. Residential and Commercial Use

Products must be used within the residential or commercial application and usage level for which they are sold, specified, or warranted.

A product identified as Residential Use Only is not covered by IRONBAY™’s voluntary Commercial Warranty when used in a commercial, shared, institutional, rental, professional, or revenue-generating environment.

Commercial Warranty coverage does not automatically mean that a product is suitable for every commercial environment, frequency, or intensity of use.

Applicable voluntary warranty coverage is governed by the product-specific warranty information and our Residential Warranty or Commercial Warranty, as applicable.

8. Warehouse Pickup, Shipping, Delivery and Assembly

Products may be available for warehouse pickup, Canada-wide shipping, freight, local delivery, or delivery and assembly depending on the product, destination, and selected service.

Warehouse pickup and shipping are governed by our Shipping Policy.

Local delivery, assembly, and equipment relocation services are governed by our Delivery & Assembly Policy.

Risk of loss, freight arrangements, delivery conditions, service charges, and transportation responsibilities are governed by the applicable policy and applicable law.

9. Returns, Refunds and Warranties

Returns and refunds are governed by our Return & Refund Policy.

Voluntary product warranty coverage is governed by the applicable Residential Warranty or Commercial Warranty, together with any product-specific warranty information disclosed at the time of purchase.

Where a product is supported by a third-party manufacturer or supplier warranty, IRONBAY™ will administer the warranty with the customer as described in the applicable Warranty Policy.

IRONBAY™’s voluntary return and warranty policies are provided in addition to any legal warranty, cancellation right, or remedy that applies under applicable law.

10. Website Use

You may use the IronBay Fitness website for lawful personal or business purposes related to viewing, evaluating, or purchasing our products and services.

You must not:

• Use the website for fraudulent, unlawful, or abusive purposes;
• Submit false, misleading, or unauthorized information or orders;
• Attempt to gain unauthorized access to accounts, servers, systems, or data;
• Introduce malware, malicious code, or other harmful technology;
• Interfere with website security or operation;
• Impersonate another person or misrepresent your authority; or
• Use automated systems to extract substantial website content for unauthorized commercial purposes.

IRONBAY™ may take reasonable steps to protect its website, customers, and systems.

11. Intellectual Property

Trademarks, logos, photographs, graphics, written product descriptions, website design, and other content displayed on the IronBay Fitness website are owned by or licensed to IRONBAY™, or belong to their respective rights holders.

Website content may be viewed and used for ordinary personal or internal business purposes related to evaluating or purchasing IRONBAY™ products and services.

Except as permitted by applicable law, content may not be reproduced, republished, commercially exploited, or used to create derivative commercial materials without appropriate authorization.

IRONBAY™ does not claim ownership of intellectual property belonging to third-party manufacturers, suppliers, or other rights holders.

12. Third-Party Services and Privacy

Our website may use third-party payment providers, applications, maps, social platforms, or other external services.

Third-party services may be governed by their own terms and policies. Nothing in this section limits any responsibility that applicable law requires IRONBAY™ to fulfil directly.

Information about how IRONBAY™ collects, uses, and protects personal information is available in our Privacy Policy.

13. Limitation of Liability

To the fullest extent permitted by applicable law, IRONBAY™ is not liable under these Terms for indirect, incidental, consequential, special, punitive, or economic losses arising from the purchase, ownership, or use of a product or service, including loss of use, lost income, lost profits, or business interruption.

Additional limitations applicable to commercial warranty claims are described in our Commercial Warranty.

Nothing in these Terms excludes or limits any legal warranty, statutory right, remedy, or liability that cannot legally be excluded or limited.

14. Events Beyond Our Reasonable Control

IRONBAY™ is not responsible for delay or inability to perform an obligation where the cause is reasonably beyond our control, including severe weather, natural disasters, transportation interruptions, carrier delays, labour disruptions, power or communication outages, government restrictions, emergencies, or similar events.

IRONBAY™ will take reasonable steps to address affected orders or services where practical.

Nothing in this section limits any cancellation, refund, delivery, or other right that applies under applicable law.

15. Governing Policies and Entire Agreement

Depending on the transaction, a purchase may also be subject to:

• Return & Refund Policy;
• Shipping Policy;
• Delivery & Assembly Policy;
• Residential Warranty;
• Commercial Warranty;
• Product-specific warranty, usage, or service terms disclosed before purchase; and
• Any additional terms expressly identified and made available before purchase.

These Terms, the applicable policies, product-specific information disclosed at the time of purchase, and any additional expressly agreed terms constitute the terms governing the transaction.

Our Privacy Policy separately describes how IRONBAY™ handles personal information.

If there is a conflict between these Terms and a product-specific term expressly disclosed at the time of purchase, the more specific term will apply to that matter, subject to applicable law.

No policy or term published after a completed purchase will retroactively reduce the customer’s rights or materially change the terms applicable to that purchase unless permitted by law and agreed where required.

16. Governing Law

IRONBAY™ is based in Calgary, Alberta. These Terms and transactions with IRONBAY™ are generally governed by the laws of Alberta and the applicable laws of Canada.

Mandatory consumer protection, contract, language, or other laws of another province, territory, or jurisdiction continue to apply where those laws govern the transaction and cannot legally be excluded.

Nothing in these Terms requires a customer to waive access to a court, tribunal, regulator, or other remedy where that right cannot legally be waived.

17. Severability and No Waiver

If any provision of these Terms is found to be invalid or unenforceable, it will be interpreted or limited to the extent reasonably necessary and permitted by law, and the remaining provisions will continue in effect.

IRONBAY™’s decision not to enforce a provision in a particular circumstance does not constitute a permanent waiver of that provision.

18. Changes to These Terms

IRONBAY™ may update these Terms from time to time to reflect changes to our business, services, policies, or legal requirements.

Updated Terms apply prospectively to future website use and transactions from their applicable effective date.

The Terms, policies, and product-specific conditions in effect at the time of purchase will continue to govern that purchase unless applicable law requires otherwise or the parties subsequently agree to different terms.
