Dealer Program Policy

This Dealer Program Policy governs participation in the IRONBAY™ Dealer Program. Approval into the Dealer Program is granted solely at the discretion of [Company Name] ("IRONBAY™", "we", "our", or "us"). Participation in the Program constitutes acceptance of this Policy.

1. Dealer Qualification

Dealer applications are reviewed individually based on business needs, purchasing history, market coverage and other commercial considerations.

Dealer qualification requirements are not publicly disclosed and may change without prior notice.

IRONBAY™ reserves the sole right to approve, decline or revoke Dealer status at any time.

2. Dealer Status

Dealer status is reviewed on a quarterly basis.

Dealer pricing, purchasing privileges and program eligibility may be adjusted according to each Dealer's purchasing activity and overall business relationship with IRONBAY™.

Dealers with no qualifying purchases for two (2) consecutive calendar quarters may have their Dealer status suspended or revoked at IRONBAY™'s discretion.

3. Dealer Pricing

Dealer pricing is confidential and intended solely for approved Dealers.

Dealer pricing is dynamic and may change without prior notice based on market conditions, manufacturing costs, freight costs, exchange rates, inventory availability or other commercial factors.

All quotations are subject to the validity period specified on the quotation and shall expire automatically thereafter.

4. Sales Policy

Approved Dealers may sell products through retail stores, commercial customers, online platforms, Facebook Marketplace and other lawful sales channels.

Dealer sales within Canada and the United States are permitted unless otherwise restricted in writing by IRONBAY™.

Dealers are required to comply with the applicable Minimum Advertised Price (MAP) and Minimum Selling Price (MSP) policies published by IRONBAY™ for applicable products.

MAP and MSP requirements may vary by product and may be updated without prior notice.

5. Dealer Responsibilities

  • Provide accurate product information to customers.
  • Conduct business in accordance with applicable laws and regulations.
  • Maintain the reputation of the IRONBAY™ brand.
  • Comply with all applicable pricing and resale policies.

Dealers operate as independent businesses and are not employees, agents, franchisees or legal representatives of IRONBAY™.

6. Suspension and Termination

IRONBAY™ reserves the right to suspend or terminate Dealer status immediately where a Dealer violates this Policy, applicable pricing policies, applicable laws, or engages in conduct that may damage the reputation or commercial interests of IRONBAY™.

Termination of Dealer status does not affect any obligations arising prior to termination.

7. Limitation of Liability

Participation in the Dealer Program does not create any exclusive territory, guaranteed sales volume, minimum purchasing commitment by IRONBAY™, employment relationship or partnership.

To the fullest extent permitted by applicable law, IRONBAY™ shall not be liable for any indirect, incidental, consequential, special, punitive or economic damages arising from participation in the Dealer Program.

Nothing contained in this Policy limits any rights that cannot legally be excluded under applicable Canadian law.

8. Policy Updates

IRONBAY™ reserves the right to amend, modify or replace this Dealer Program Policy at any time without prior notice.

The version published on our website at the time of participation in the Dealer Program shall govern that participation unless otherwise required by applicable law.
